These General Terms and Conditions ("Terms") govern the provision and use of the RaceNode SaaS platform ("Service") operated by WBLT Engineering ("Provider", "we", "us").

1. Definitions

Service: RaceNode cloud-based software platform and associated modules accessible via subscription
Client: Professional entity or individual subscribing to the Service
Subscription: Paid access to one or more Service modules
User: Individual authorized by Client to access the Service
Data: All information submitted, stored, or processed by Client through the Service

3. Service Description

RaceNode provides a modular operational management platform for racing teams, including but not limited to:

Event coordination and team management
Logistics and fleet management
Planning and scheduling tools
Technical modules (as available)

Service features, modules, and specifications are described on the official website and may evolve over time.

4. Subscription and Pricing

4.1 Subscription Model

Subscriptions are sold per module on a monthly or annual basis
Pricing is displayed on the website at the time of subscription
Prices are locked at the subscription rate for the duration of continuous service

4.2 Payment Terms

Payment is processed immediately upon subscription via Stripe
Accepted payment methods: credit/debit cards
Subscriptions automatically renew at each billing period unless cancelled by Client
All prices are in EUR and exclude applicable VAT

4.3 Invoicing

Invoices are issued electronically and sent to Client's registered email address
Client is responsible for providing accurate billing information

5. Service Access and Account

5.1 Account Creation

Client creates an account and provides accurate registration information
Client is responsible for maintaining confidentiality of login credentials
Access is granted immediately upon successful payment

5.2 Acceptable Use

Client agrees to:

Use the Service in compliance with applicable laws and regulations
Not attempt to reverse engineer, decompile, or extract source code
Not resell, redistribute, or sublicense access to the Service
Not use the Service for unlawful, fraudulent, or malicious purposes

5.3 Account Suspension

Provider reserves the right to suspend access in case of:

Non-payment
Breach of these Terms
Activities endangering Service security or integrity

6. Service Level and Availability

6.1 Service Commitment

Target uptime: 99.5% (excluding scheduled maintenance)
Provider will make commercially reasonable efforts to maintain Service availability
Scheduled maintenance will be notified in advance when possible

6.2 Limitation of Liability

Service is provided "as is" without warranty of uninterrupted operation
Provider is not liable for indirect, consequential, or incidental damages
Total liability is limited to amounts paid by Client in the 12 months preceding the claim

7. Data and Privacy

7.1 Data Ownership

Client retains full ownership of all Data submitted to the Service
Provider does not claim any rights over Client Data

7.2 Data Processing

Provider processes Data as a data controller under GDPR
Processing is necessary for Service performance and legitimate business interests

7.3 Data Security

Industry-standard security measures are implemented (encryption, access controls, backups)
Client is responsible for Data accuracy and User access management
Data breach notifications will be provided within 72 hours as required by GDPR

7.4 Data Retention and Portability

Active Data is retained for the duration of subscription
Upon cancellation, modules switch to read-only mode for 6 months, then Data is permanently deleted
Client may export Data at any time through Service features
Data export requests upon cancellation must be made within the 6-month retention period

7.5 User Rights

Users may exercise GDPR rights (access, rectification, deletion, portability) by contacting: contact@racenode.com

8. Intellectual Property

8.1 Provider IP

All Service software, trademarks, and documentation remain Provider's exclusive property
Client receives a limited, non-exclusive, non-transferable license to use the Service

8.2 Client IP

Client retains all intellectual property rights to their Data
Provider may use anonymized, aggregated Data for analytics and Service improvement

9. Subscription Management

9.1 Modifications

Client may add or remove modules at any time through their account
Changes take effect immediately upon confirmation
Billing is adjusted automatically on a prorated basis
Upgrades are charged immediately for the remaining billing period
Downgrades generate a prorated credit applied to the next invoice

9.2 Cancellation

Client may cancel subscription at any time through their account settings
Upon cancellation, access remains active until the end of the current billing period
Subscription will not renew automatically after the current period ends
No refunds are provided for partial billing periods unless otherwise required by law

9.3 Non-Payment

Failure to pay results in immediate Service suspension
Access is restored upon successful payment of outstanding amounts
Accounts unpaid for 6 months may be permanently deleted (billing records retained as required by law)

10. Term and Termination

10.1 Term

These Terms are effective upon first subscription and remain in effect during Service use.

10.2 Termination by Client

Client may terminate at any time by cancelling subscription
Data export must be requested within 6 months

10.3 Termination by Provider

Provider may terminate for cause (breach of Terms) with 15 days written notice
Provider may discontinue Service with 90 days notice to all Clients

11. Modifications to Terms

Provider reserves the right to modify these Terms at any time
Material changes will be notified by email 30 days in advance
Continued use of Service after changes constitutes acceptance
Clients may cancel subscription if they do not accept modifications

12. Applicable Law and Jurisdiction

These Terms are governed by French law
Any dispute shall be submitted to the competent courts of France
For international clients, mandatory consumer protection laws of Client's jurisdiction apply where applicable

13. Support and Claims

13.1 Support

Support is provided via email and in-app messaging
Target response time: 2 hours during Events, 24 hours otherwise
Support hours: Monday-Friday 9:00-18:00 CET (excluding French public holidays)

13.2 Claims and Complaints

Claims must be submitted within 30 days of the issue

14. Miscellaneous

14.1 Entire Agreement

These Terms constitute the entire agreement between Provider and Client regarding Service use.

14.2 Severability

If any provision is found invalid, remaining provisions remain in full effect.

14.3 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

14.4 Language

In case of translation, the English version prevails.
